In September 2023, the European Commission prohibited Booking’s attempted acquisition of eTraveli. The acquisition would have combined two online travel agencies, one mainly active for hotels and one active for flights.
The Commission’s theory of harm was based on conglomerate effects, but rather than leveraging dominance into a new market, the harm was believed to arise from adding functionalities that protect the acquirer´s market position in its core market. While this theory is not new, it was the first prohibition decision by the European Commission “based purely on ecosystem concerns”.
